NextAxis Digital provides digital marketing, website and application development, business automation, and e-commerce management services, including but not limited to search engine optimization, search and social advertising, social media marketing and management, website design and development, CRM and ERP development, AI and WhatsApp automation, and marketplace account management. Specific deliverables, timelines, pricing and scope for any engagement are defined in a separate written proposal or service agreement, which takes precedence over general descriptions found on this website.

Client Responsibilities

To deliver services effectively, we rely on clients to:

• Provide accurate, complete and timely information, assets, access credentials and approvals needed to perform the agreed services
• Ensure they have the legal right to use and share any content, trademarks, images or data provided to us
• Review and respond to deliverables, drafts and requests within reasonable, agreed timeframes
• Use our deliverables and recommendations in compliance with applicable laws and third-party platform policies

Delays in providing required information or approvals may affect project timelines and are not the responsibility of NextAxis Digital.

Payment Terms

Fees, payment schedules and invoicing terms are set out in the individual proposal or service agreement for each engagement. Unless otherwise agreed in writing, invoices are due within the timeframe specified on the invoice, and continued or ongoing services may be paused for accounts with significantly overdue payments. Advertising or media spend paid to third-party platforms (such as Google or Meta) on a client's behalf is separate from our service fees and is billed or managed as outlined in the relevant agreement.

Intellectual Property

Upon full payment, clients receive rights to the final deliverables created specifically for them as outlined in the applicable agreement. NextAxis Digital retains ownership of its own pre-existing tools, frameworks, processes, templates and general methodologies used in delivering services, and reserves the right to showcase completed work in its portfolio and case studies unless a client has requested confidentiality in writing. All content on the NextAxis Digital website, including text, graphics, logos and design, is the property of NextAxis Digital and may not be reproduced without permission.

Limitation of Liability

While we work diligently to deliver results-driven services, digital marketing outcomes such as search rankings, advertising performance and lead volume depend on factors outside our control, including platform algorithm changes, market conditions and competitor activity. We do not guarantee specific rankings, revenue or performance outcomes. To the fullest extent permitted by law, NextAxis Digital's liability for any claim arising from our services is limited to the fees paid for the specific service giving rise to the claim, and we are not liable for indirect, incidental or consequential damages.

Termination

Either party may terminate an ongoing service engagement in accordance with the notice period specified in the relevant service agreement. Upon termination, the client remains responsible for payment of fees for work performed and expenses incurred up to the termination date. We reserve the right to suspend or terminate access to our website or services for any user who violates these Terms.

Governing Law

These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts having competent authority.
